Terms & Conditions

Please read these Terms & Conditions ("Terms") carefully before using DevNexa. By registering a company, creating an account, or accessing any part of the DevNexa platform (the "Service"), you agree to be bound by these Terms.

DevNexa is a brand and product of Techno Infonet Gujarat Pvt. Ltd., incorporated in India (referred to below as "DevNexa", "we", "us" or "our"). You, the individual or the company you represent, are referred to as "Customer", "you" or "your".

1. Acceptance of these Terms

By registering an account you confirm that (a) you are at least 18 years old, (b) you are legally authorised to bind the company you are registering, and (c) you accept these Terms, the Privacy Policy and the Refund Policy.

2. The Service

DevNexa is a multi-tenant SaaS platform that provides:

• Sprint planning, backlog and roadmap tools;
• End-to-end customer support ticketing;
• Time tracking, standups and live session monitoring;
• Reporting, analytics and audit logs;
• Web push and in-app notifications;
• An AI Assistant (rule-engine plus optional third-party LLM integration).

Features may be added, changed or removed at our discretion. Where a change materially reduces the Service, we will notify active customers at least fourteen (14) days in advance where reasonably practicable.

3. Account registration & tenant isolation

Each customer registers a "tenant" workspace. Data belonging to one tenant is logically isolated from every other tenant. You are responsible for the accuracy of the information supplied at registration and for keeping it current.

You are responsible for all activity that occurs under your workspace, including that of every user you invite. You must maintain the confidentiality of login credentials and immediately notify us at support@technoinfonet.com of any suspected unauthorised access.

4. Subscription & trial

New tenants receive a fourteen (14) day free trial. After the trial you may choose a paid plan, or your account will be downgraded / suspended. Paid plans are billed in advance for the period selected (monthly, quarterly or annual).

Prices, plan features and billing cycles are published on our pricing pages or as agreed in a signed proposal. Applicable Goods & Services Tax (GST) will be added at the prevailing statutory rate.

5. Payment, invoicing & refunds

Payment is processed through third-party payment gateway providers. By making a payment you also agree to the terms of the applicable gateway.

Every completed payment automatically generates a tax-compliant invoice in your workspace, downloadable as PDF. Once a payment is successfully processed, it is non-refundable. Please review our Refund Policy for the full statement of when — and why — refunds are not issued.

6. Acceptable use

You agree not to:

• upload content that is unlawful, infringing, defamatory, obscene or otherwise objectionable;
• attempt to gain unauthorised access to another tenant's workspace or to DevNexa's infrastructure;
• reverse-engineer, decompile or extract the source code of the Service;
• use the Service to send spam, malware, or unsolicited communications;
• use the Service in a manner that would violate any applicable law of India or of your jurisdiction.

We may suspend or terminate access without refund if we reasonably believe you are in breach of this section.

7. Your data & ownership

You retain all right, title and interest in the data you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive licence to host, process and transmit Customer Data solely to provide and improve the Service.

We do not sell Customer Data. We do not train third-party AI models on Customer Data. See the Privacy Policy for full details.

8. Service availability & maintenance

We target a monthly uptime of 99.5% (excluding scheduled maintenance windows announced at least 48 hours in advance). Uptime is calculated on the DevNexa production infrastructure, not on the customer's local network or third-party integrations. We are not liable for downtime caused by force majeure, upstream network outages, or third-party services (payment gateway, DNS, email delivery, LLM providers, etc.).

9. Third-party integrations

If you enable an integration (for example, using your own Anthropic or OpenAI API key with the AI Assistant), your use of that third-party service is governed by that provider's terms, not by us. We do not accept liability for the availability, accuracy or billing of any third-party service.

10. Intellectual property

DevNexa, the DevNexa logo, and all software, documentation, and design of the Service are the exclusive property of Techno Infonet Gujarat Pvt. Ltd. All rights not expressly granted to you under these Terms are reserved.

11. Confidentiality

Both parties agree to keep the other party's non-public business, technical, or commercial information confidential and to use it only to perform obligations under these Terms.

12. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Neither party shall be liable for indirect, incidental, consequential, or punitive damages, or for lost profits, loss of data, or business interruption, even if advised of the possibility.

13. Indemnity

You agree to indemnify and hold harmless DevNexa and its officers, employees and affiliates from any third-party claim arising from your Customer Data, your breach of these Terms, or your violation of any law.

14. Suspension & termination

You may cancel your subscription at any time from your workspace's billing settings. Cancellation stops future renewal; already-paid periods run out their term without refund. We may suspend or terminate your account for material breach of these Terms after reasonable notice, or immediately for security, legal or illegal-use reasons.

On termination, you may export your data for thirty (30) days, after which it is permanently deleted from our production systems (retention in encrypted backups may extend up to a further 90 days per the Privacy Policy).

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email to the workspace admin and posted on this page at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

16. Governing law & jurisdiction

These Terms are governed by and construed under the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.
